ITEM 8.01 OTHER EVENTS

Management is actively looking to accomplish a merger or make an acquisition of producing oil and gas properties. To that end meetings have taken place with potential candidates for merger and Management continues to evaluate data from several potential sellers of oil and gas properties. Nothing can be said with any definition regarding an outcome until an agreement is signed. The Company will make announcements as and when anything concrete transpires.
