ITEM 2.02 Results of Operations and Financial Condition

On February 4, 2010 (after the close of market), ICO, Inc. (the “Company”) issued a press release announcing its financial results for the quarter ending December 31, 2009. A copy of the press release is attached herewith as Exhibit 99.1 and incorporated herein by reference.

ITEM 7.01 Regulation FD Disclosure

On February 5, 2010, at 10:00 a.m., Central Standard Time, the Company will hold a conference call to discuss its financial results for the quarter ending December 31, 2009. This scheduled call and instructions for accessing the call were previously announced in the web alert issued on January 22, 2010, and again in the press release that was issued on February 4, 2010, which is attached as Exhibit 99.1 hereto.
