Item 1.01 Entry into a Material Definitive Agreement

Housing Programs Limited, a California limited partnership (the “Registrant”), owns a 99.00% limited partnership interest in Oshtemo Limited Dividend Housing Association (“Oshtemo”), a Michigan limited partnership. Oshtemo owns a 330-unit apartment complex located in Oshtemo, Michigan. On June 28, 2011, the Registrant entered into an Assignment and Assumption Agreement with Gleason E. Amboy, Joel I. Ferguson and Sol L. Steadman and AMG-MGT, LLC, a Michigan limited liability company, the general partner of Oshtemo, relating to the assignment of the limited partnership interest held by the Registrant in Oshtemo for a total price of approximately $350,000. The transaction is expected to close no later than December 31, 2011. The Registrant’s investment balance in Oshtemo was zero at March 31, 2011.

The foregoing description is qualified in its entirety by reference to the Assignment and Assumption Agreement, a copy of which is filed as Exhibit 10.2 to this report.

The agreement included as an exhibit to this Form 8-K contain representations and warranties by each of the parties to the applicable agreement. These representations and warranties have been made solely for the benefit of the other parties to the applicable agreement and:
