The aggregate number of Dividend RSUs being reported as an acquisition on this form are 13 RSUs granted with respect to the 2011 Time RSUs. The 135 over-reported Dividend RSUs on the original Form 4 were granted on underlying performance RSUs that are not reportable and were also included in the direct ownership totals on one subsequent Form 4 filed by the Reporting Person on September 14, 2012.
