- [F1]Swift Starboard Corporation, a wholly-owned subsidiary of Genzyme Corporation, acquired the shares pursuant to a tender offer which expired at midnight, September 10, 2003. The tendered shares were accepted for payment on September 11, 2003. The consideration in the tender offer was $22.50 per share of SangStat stock, net to the seller in cash, without interest. More then 90% of SangStat shares were tendered. The remainder of the outstanding shares were acquired pursuant to a short-form merger which was effective September 12, 2003 in which Swift Starboard was merged with and into SangStat.
