Item 2.03. Creation of a Direct Financial Obligation or an Obligation under an Off-Balance Sheet Arrangement of a Registrant.

On April 3, 2025, certain subsidiaries of Global Clean Energy Holdings, Inc. (“we,” “us,” “our” and the “Company”) entered into Amendment No. 22 to the Company’s senior secured term loan credit agreement (the “Senior Credit Agreement”), by and among BKRF OCB, LLC (the “Borrower”), BKRF OCP, LLC, Bakersfield Renewable Fuels, LLC, Orion Energy Partners TP Agent, LLC, in its capacity as the administrative agent (the “Administrative Agent”), and the lenders party thereto (“Amendment No. 22”). Amendment No. 22 provides for, among other things, an upsizing of the Tranche D commitments under the Senior Credit Agreement of up to $380,650,000 (the “Upsize”), of which (i) Tranche D lenders provided commitments for $370,650,000 (that is, commitments for $10,000,000 of the Upsize were provided pursuant to Amendment No. 22) and (ii) any unfunded portion will automatically terminate on April 15, 2025 (or such later date as the Administrative Agent may consent to). In consideration for the Upsize, Amendment No. 22 provides that (i) an aggregate of $20,000,000 of Tranche A, Tranche B, or Tranche C loans, as applicable, outstanding under the Senior Credit Agreement will be recharacterized as Tranche C+ loans and (ii) up to an additional aggregate of $20,000,000 of Tranche A, Tranche B or Tranche C loans, as applicable, may be recharacterized as Tranche C+ loans to the extent the uncommitted portion of the Upsize is ultimately funded. Such Tranche C+ loans provide for a minimum return of 1.35x.
