Angel of Mr. Rothenberg's 33 1/3% membership interest in WH/LVH Managers Voteco LLC and the resulting acquisition by Mr. Angel of indirect beneficial ownership of the 0.6 Class A Membership Units of Colony Resorts LVH Acquisitions LLC. Messrs. Cramer, Langer and Angel may be deemed to beneficially own indirectly 0.6 Class A Membership Units of Colony Resorts LVH Acquisitions LLC by reason of the direct ownership of such securities by WH/LVH Managers Voteco LLC. Messrs. Cramer, Langer and Angel each disclaims beneficial ownership of the securities owned by WH/LVH Managers Voteco LLC except to the extent of their pecuniary interest therein.
