Weidman due to assignments on May 19, 2011 (i) by Jonathan Langer to Mr. Kava of Mr. Langer's 33 1/3% membership interest in Voteco, (ii) by Brahm Cramer to Mr. Weidman of Mr. Cramer's 33 1/3% membership interest in Voteco and (iii) by Steven Angel to Mr. Kava and Mr. Weidman of Mr. Angel's 33 1/3% membership interest in Voteco and the resulting acquisition by Mr. Kava and Mr. Weidman of indirect beneficial ownership of the 30 Class A Membership Interests of American Casino & Entertainment Properties LLC. The securities reported herein are owned directly by Voteco, which is controlled by its two members, Mr. Kava and Mr. Weidman. There is no change in beneficial ownership by Voteco.
