(the "Merger Agreement"), at the effective time of the merger each share of First Financial Holdings, Inc. common stock was exchanged for 0.4237 shares of SCBT Financial Corporation common stock, with cash paid in lieu of fractional shares.

- [F3]Pursuant to the Merger Agreement, each First Financial Holdings, Inc. stock option was converted into the right to receive a cash payment equal to the product of (i) the excess, if any, of (A) the closing price per share of First Financial Holdings, Inc.common stock on the day immediately prior to the effective time ($22.79) over (B) the per-share exercise price of such First Financial Holdings, Inc. stock option and (ii) the number of shares of First Financial Holdings, Inc. common stock subject to such First Financial Holdings, Inc. stock option. In the event that te product obtained by the prior sentence is zero or a negative number, then the First Financial Holdings, Inc. stock option will be cancelled for no consideration.
