Item 2.02. Results of Operations and Financial Condition

On April 29, 2025, Astec Industries, Inc. (the "Company") reported results of operations for the three months ended March 31, 2025. A copy of that press release attached as Exhibit 99.1 and is incorporated herein by reference.

Item 7.01. Regulation FD Disclosure

On April 29, 2025 the Company also announced that the Company has entered into a definitive agreement (the "Agreement") to acquire TerraSource Holdings, LLC ("TerraSource"), a market-leading manufacturer of material processing equipment and related aftermarket parts serving complementary crushing, screening and separation applications. Pursuant to the Agreement, on the terms and subject to the conditions therein, the Company has agreed to acquire 100% of the equity interests of TerraSource for $245.0 million in cash, subject to customary adjustments. A copy of that press release is attached as Exhibit 99.1 and is incorporated herein by reference.
