Item 2.02 Results of Operations and Financial Condition.

On July 30, 2025 the Registrant issued a press release, a copy of which is attached hereto as Exhibit 99.1 and incorporated herein by reference.

Item 8.01 Other Events.

On July 30, 2025, the Board of Directors (the “Board”) authorized and declared a dividend of $2.10 per share on the Company's issued and outstanding common shares of stock and beneficial interest (the“Dividend”). The Dividend will be payable to the stockholders of record at the close of business on August 20, 2025.

The Company included the Dividend announcement in its press release issued July 30, 2025. As noted in Item 2.02, a copy of the press release is attached hereto as Exhibit 99.1 and incorporated by reference herein.
