As a result, each share of the Issuer's former Class A common stock and Class B common stock was reclassified into one share of its Class A-1 common stock and Class B-1 common stock, respectively. These reclassifications were approved by the Issuer's board of directors pursuant to Rule 16b-3 under the Securities and Exchange Act of 1934, as amended, and are also exempt under Rule 16b-7.
