Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective as of June 25, 2025, the board of directors of Starbucks Corporation (the “Company”) amended and restated the Company’s Amended and Restated Bylaws (the “Bylaws”) to, among other things:

•Address the universal proxy rules adopted by the U.S. Securities and Exchange Commission pursuant to Rule 14a-19 of the Securities and Exchange Act of 1934;

•Make certain limited updates to the procedures and disclosure requirements for director nominations made, and business proposals submitted, by shareholders under the Company’s advance notice provisions;

•Require that a shareholder directly or indirectly soliciting proxies from other shareholders use a proxy card color other than white; and

•Make certain other technical, conforming, modernizing, or clarifying changes.
