- [F1]Pursuant to the Agreement and Plan of Merger, dated as of August 28, 2023 (the "Merger Agreement"), by and among RPT Realty, a Maryland real estate investment trust ("RPT"), RPT Realty, L.P., a Delaware limited partnership, Kimco Realty Corporation, a Maryland corporation ("Kimco"), Kimco Realty OP, LLC, a Delaware limited liability company ("Kimco OP"), Tarpon Acquisition Sub, LLC, a Delaware limited liability company and direct wholly owned subsidiary of Kimco, and Tarpon OP Acquisition Sub, LLC, a Delaware limited liability company and direct wholly owned subsidiary of Kimco OP, pursuant to which RPT merged with and into Kimco on January 2, 2024, with Kimco surviving the merger (the "Merger"), at the effective time of the Merger, each issued and outstanding common share of beneficial interest, par value $0.01 per share of RPT ("RPT Common Shares")
