Pursuant to a one-time election made by the Reporting Person in accordance with Section 409A of the American Jobs Creation Act, the shares of common stock were distributed to, and are now held directly by, the Reporting Person. In accordance with the terms of the trust, shares of common stock with a market value on the date of the distribution equal to withholding taxes payable on the distributed shares were withheld.
