- [F1]On 6/6/07, for estate planning, the reporting person gifted 300 shares of common stock from a joint brokerage account to a brokerage account held solely by his spouse. The reporting person did not realize that such transfer required disclosure as a gift. Subsequently, on each of the dates set forth in footnote (2), the reporting person made further gifts of stock to his spouse from awards of stock granted to the reporting person by the company for director fees (which were previously reported) deposited in the brokerage account held solely by his spouse. These gifts were not reported at the time and the reporting person reported the shares as directly owned. This Form 4 is being filed to correct this oversight. The reporting person disclaims beneficial ownership of the shares held by his spouse, and this report shall not be deemed an admission that the reporting person is the beneficial owner of his spouse's shares for any purpose.
