The reported number is the maximum number of derivative securities (i.e., 150% of target) that will vest and be settled in an equal number of shares of common stock if the maximum applicable stock price goal is attained and the employee's service has been continuous over the period. One-third of the performance shares will vest, if at all, in each of three performance periods, ending on December 31 in each of 2011, 2012 and 2013.
