- [F1]Each restricted stock unit ("RSU") represented the right to receive, upon vesting of the unit, one share of the issuer's common stock. Pursuant to the Agreement and Plan of Merger by and among East Private Holdings II, LLC, East Merger Sub, Inc., and Electronics for Imaging, Inc., dated as of April 14, 2019 (the "Merger Agreement" and the transaction contemplated therein, the "Merger"), each of these RSUs was automatically cancelled and converted into the right to receive an amount in cash equal to $37.00 (the "Merger Consideration"). As provided in the Merger Agreement, the right to receive the Merger Consideration as to these RSUs remained subject to time-based and, in certain cases, performance-based vesting requirements following the Merger.
