Prior to the grant date, the Reporting Person irrevocably waived his right under the Company's 2007 Equity Incentive Plan to receive a portion of the stock options scheduled to be paid to him on September 1, 2012, and in lieu therof consented to receive the reported option grant together with an option grant having a fair market value of $4,200 (calculated in accordance with Black-Scholes option pricing model) under the Company's 2013 Equity Incentive Plan (the "2013 Plan").
