Item 1.01 Entry into a Material Definitive Agreement

Amendment to Pooling & Servicing Agreement

On February 26, 2005, a series of certificates, entitled Nomura Asset Acceptance Corporation, Alternative Loan Trust Series 2004-AP1, Mortgage Pass-Through Certificates (the “Certificates”), were issued pursuant to a pooling and servicing agreement, dated as of February 1, 2004 (the “Pooling Agreement”), among Nomura Asset Acceptance Corporation as depositor (the “Depositor”), Nomura Credit & Capital, Inc., as seller (the “Seller”), GMAC Mortgage Corporation as a servicer (“GMAC”), Option One Mortgage Corporation as a servicer (“OOMC”), and JPMorgan Chase Bank, N.A. as trustee (the “Trustee”), which Pooling Agreement was the subject of, and exhibit to a Form 8-K filed with the United States Securities and Exchange Commission on March 22, 2004.

The seller, as owner of the mortgage loans sold to the trust fund, retained certain rights relating to the servicing of some of the mortgage loans (the “OOMC Mortgage Loans”), including the right to terminate and replace OOMC at any time, without cause. As of October 1, 2005, the Seller transferred the servicing rights with respect to the OOMC Mortgage Loans to GMAC. As a result, the Depositor, the Seller, GMAC and the Trustee entered into a Servicer Appointment and Assumption Agreement (the “Agreement”), dated as of October 1, 2005, attached hereto as Exhibit 4.1. The Agreement reflects the appointment of GMAC as a servicer with respect to the OOMC Mortgage Loans.
