- [F1]These shares were held by Goldman Sachs as collateral to secure Mr. Pearson's obligations under personal loans Mr. Pearson obtained from Goldman Sachs, to, among other things, finance charitable contributions, including a contribution to Duke University, helping to fund a community swimming pool, purchase shares of the issuer, and meet certain tax obligations related to the vesting and payment of compensatory equity awards. On November 5, 2015, Goldman Sachs ordered the sale of these shares in repayment of the loans. After repayment of the loans with the proceeds from the sale by Goldman Sachs, the loan agreements will terminate and there will be no amounts outstanding under those agreements.
