(a) On July 31, 2006, Altiris, Inc. (the “Registrant”) issued a press release announcing its financial results for second quarter 2006. The full text of the press release is attached hereto as Exhibit 99.1 and is hereby incorporated by reference. Pursuant to General Instruction B.2 of Form 8-K, this exhibit is not “filed” for purposes of Section 18 of the Securities Exchange Act of 1934, as amended, but is instead furnished pursuant to that instruction.

The Board of Directors of the Registrant authorized the repurchase of up to $50 million of the Registrant’s outstanding common stock. The Registrant intends to accomplish such repurchases by implementing a share repurchase program.
