Item 1.01. Entry into a Material Definitive Agreement

Financial Security Assurance Inc., as Insurer (the “Insurer”), Triad Automobile Receivables Trust 2006-B, as Issuing Entity (the “Issuing Entity”), Triad Financial Corporation (“Triad”) as Seller and Servicer, Triad Financial Special Purpose LLC, as Depositor (the “Depositor”), and Citibank, N.A. as Indenture Trustee (the “Indenture Trustee”) entered into a First Amendment to Insurance and Indemnity Agreement, dated as of August 11, 2006 (the “First Amendment”). The First Amendment deleted and replaced in their entirety the Schedules A & C to the Insurance and Indemnity Agreement (the “Insurance Agreement”) entered into by the Insurer, the Issuing Entity, Triad, the Depositor and the Indenture Trustee, dated as of May 25, 2006.
