Item 12.01. ~~Entry~~Completion ~~into~~of aAcquisition ~~Material~~or ~~Definitive~~Disposition ~~Agreement~~of Assets.

On ~~February~~March 1929, 2019, ~~IRESI Montgomery Mitylene, L.L.C. (the “Mitylene Subsidiary”), an indirect wholly owned subsidiary of~~ Inland Residential Properties Trust, Inc. (the “Company”), ~~and~~through BIRESI &Frederick MMarket ~~Development Company~~Square, L.L.C., an ~~unaffiliated~~indirect ~~third~~wholly owned ~~party~~subsidiary (of the ~~“Buyer”), entered~~Company ~~into a second amendment~~ (the ~~"Amendment"~~“Retreat Subsidiary”) tocompleted the ~~agreement~~previously ~~between~~disclosed ~~those~~sale ~~parties~~of ~~dated~~a ~~December 21~~194,732 ~~2018,~~square asfoot ~~amended~~206-unit bymultifamily ~~the~~community ~~first amendment thereto dated January 23, 2019 (the "Agreement"), to sell the property~~ located at ~~8850~~300 ~~Crosswind~~Cormorant ~~Drive~~Place, ~~Montgomery~~Frederick, ~~Alabama~~Maryland, commonly known as “~~Verandas~~The Retreat at ~~Mitylene~~Market Square” (the “Property”) pursuant to an agreement dated February 12, 2019 (the ~~Buyer~~“Agreement”). The ~~entry~~buyers ~~into~~of the ~~Agreement~~Property are 515 Retreat LLC and ~~its~~Retreat ~~material~~Co-Tenant ~~terms~~LLC ~~were~~(assignees of the previously disclosed inbuyer, ~~the~~515 ~~Company’s~~22nd Street ~~Current~~Limited ~~Report on~~Partnership), ~~Form~~unaffiliated ~~8-K~~third ~~filed~~parties. ~~with~~At the ~~Securities~~closing, ~~and~~the ~~Exchanges~~Company ~~Commission~~received ~~(“SEC”)~~net onproceeds ~~December~~of ~~28,~~approximately ~~2018,~~$18.8 million ~~and~~representing the ~~entry~~purchase ~~into~~price ~~the first~~of ~~amendment~~$47.0 tomillion, ~~the~~net ~~Agreement~~of ~~and~~closing ~~its~~costs, ~~material~~commissions, ~~terms~~and ~~were~~certain ~~previously~~prorations ~~disclosed~~and inadjustments, and the ~~Company’s~~full ~~Current~~repayment ~~Report~~of onapproximately ~~Form 8-K~~$27.5 ~~filed~~million ~~with~~in ~~the~~mortgage ~~SEC~~debt onthat ~~January~~encumbered ~~25,~~the ~~2019~~Property.

~~The~~For ~~Amendment extends~~additional ~~the~~information, ~~due~~reference ~~diligence~~is ~~period~~made ~~only for the Buyer~~ to ~~complete its equity structure for~~ the ~~transaction from February 19~~Agreement, ~~2019 to February 22, 2019,~~ which ~~includes the Buyer entering into certain operating agreements with a joint venture partner unaffiliated with the Company. If the Buyer~~ is ~~unable~~attached tohereto ~~complete~~as ~~its~~Exhibit ~~equity structure for the transaction, the Buyer may terminate the Agreement by providing written notice to the Mitylene Subsidiary by February 22, 2019~~10.1 ~~Upon termination, the earnest money of $500,000 will be returned to the Buyer,~~ and nois ~~party~~incorporated toherein the Agreement will have any further liability to the other, other than the Buyer's obligations to: repair any damage to the Property resulting from the Buyer’s inspection of the Property; indemnify the tenants of the Property, the Mitylene Subsidiary and its affiliates against liability arising from the Buyer’s inspection or investigations at the Property; and return to the Mitylene Subsidiary, or confirm destruction of, all documents provided by ~~the Mitylene Subsidiary with respect to the Property, each pursuant to the terms of the Agreement~~reference.

Other Events.

Second Liquidating Distribution

On April 2, 2019, the Company declared a second liquidating distribution (the “Second Liquidating Distribution”) of $8.59 per share to the record holders of shares of the Company’s Class A common stock (“Class A Shares”) as of the close of business on April 2, 2019. The Second Liquidating Distribution will be paid on or around April 10, 2019 from the net proceeds of the sale of the Property. The Company paid an initial liquidating distribution on January 25, 2019 of $4.53 per share to the record holders of Class A Shares as of the close of business on January 25, 2019.

Estimated Per Share NAV

Upon the payment of the Second Liquidating Distribution, the previously estimated per share net asset value (“NAV”) as of February 1, 2019 of $16.06 will be reduced to $7.47, reflecting payment of the Second Liquidating Distribution of $8.59. There were no material changes between the estimated net proceeds from the Property used to calculate the estimated per share NAV as of February 1, 2019 and the actual net proceeds from the Property, and there have been no changes between February 1, 2019 and the date of this Current Report on Form 8-K that the Company’s business manager believes would otherwise materially impact the estimated per share NAV.
