Section 2 – Financial Information

Item 2.01 Completion of Acquisition or Disposition of Assets.

On October 14, 2022, the Company sold a Family Dollar store in McDonough, Georgia to Legal 1031 Exchange Service, LLC, as qualified Intermediary for The Kissling Interest, LLC, an unrelated third party. The Company received net cash proceeds of approximately $2,142,000 for the property, which resulted in a net gain of approximately $1,151,000.

(a) Financial statements of businesses acquired – Not Applicable.

(b) Pro forma financial information – A limited number of pro forma adjustments are required to illustrate the effects of the transaction on the balance sheet and income statement. The following narrative description is furnished in lieu of pro forma statements. Assuming the Company had sold the property on January 1, 2021:

The Company’s Investments in Real Estate would have been reduced by $1,096,643 and its Current Assets (cash) would have increased by $2,143,775 and Members’ Equity would have increased by $1,047,132.

For the year ended December 31, 2021, Income from Operations would have decreased $71,841, representing a decrease in rental income of $136,168, a decrease in depreciation expense of $63,212 and a decrease in property management expenses of $1,115. For the six months ended June 30, 2022, Income from Operations would have decreased $34,887, representing a decrease in rental income of $68,084, a decrease in depreciation expense of $31,606 and a decrease in property management expenses of $1,591.

The net effect of these pro forma adjustments would have caused Net Income to decrease from $86,930 to $15,089 and from $323,227 to $288,340, which would have resulted in Net Income of $.18 and $11.51 per Limited Partnership Unit outstanding for the year ended December 31, 2021 and the six months ended June 30, 2022, respectively.
