Explanation of Responses: (1) Each such share of the Issuer's common stock was disposed of pursuant to a merger agreement between Issuer and MeriStar Hotels & Resorts, Inc. in exchange for 4.6 shares of MeriStar Hotels & Resorts, Inc. common stock, which common stock was also subject to a 5-for-1 reverse stock split. MeriStar Hotels & Resorts Inc was renamed Interstate Hotels & Resorts, Inc. Accordingly each share of the Issuer's common stock was exchanged for 0.92 shares of the common stock of Interstate Hotels and Resorts, Inc. which shares, at the close of business on the effective date of the merger, had a market value of $3.25 per share. (2) Represented the indirect beneficial ownership interest of Lehman Brothers Holding Inc. in shares of the Issuer's Class A Common Stock. The Reporting Person serves as a Managing Director for Lehman Brothers Holdings Inc. The Reporting Person disclaims beneficial ownership of these securities except to the extent of his pecuniary interest therein, if any.
