- [F1]On July 16, 2004, the Reporting Person was granted 54,022 shares of restricted stock of the Issuer, subject to the consummation of the financial restructuring of Telewest Communications plc and to review of the terms of the form of restricted stock agreement by the Issuer's U.K. counsel. This grant was reported on a Form 4 filed on July 20, 2004. As a result of that review, the restricted stock award has been denominated as an option to purchase 54,022 shares of common stock of the Issuer at a per share exercise price of $0.01. The vesting schedule for the option is the same as the vesting schedule that applied to the restricted stock. This Form 4 amends the prior Form 4 by reducing the number of shares of restricted stock owned by the Reporting Person by 54,022 and providing the required information as to the option.
- [F2]The option vests in five annual increments based on the satisfaction of annual performance goals. Any portion of the option which is unvested as of January 18, 2011 will vest as of such date.
