(the "Transactions"), following which the Issuer will have become merged with and into GSBD with GSBD continuing as the surviving company. Such shares of the Issuer's common stock are being exchanged pursuant to the terms of the Transactions for that number of shares of GSBD common stock with a net asset value ("NAV") equal to the NAV per share of the Issuer's common stock, which calculation, as of the determination date of 10/9/20 equates to an exchange ratio of 1 to 1.1336.
