("MMLC"), Evergreen Merger Sub Inc., a wholly owned direct subsidiary of the Issuer, and Goldman Sachs Asset Management, L.P. (the "Transactions"), following which MMLC will have become merged with and into the Issuer with the Issuer continuing as the surviving company. Such shares of MMLC's common stock were exchanged pursuant to the terms of the Transactions for that number of shares of the Issuer's common stock with a net asset value ("NAV") equal to the NAV per share of MMLC's common stock, which calculation, as of the determination date of 10/9/20 equates to an exchange ratio of 1 to 1.1336, and the resulting number of shares was rounded down to the nearest whole share with the Reporting Person receiving cash for any partial share.
