In addition, on July 9, 2024, the Company issued a capital call notice to its investors, pursuant to which Ms. Uniacke is obligated to make a capital contribution of approximately $5,000 on July 29, 2024 out of her $50,000 aggregate capital commitment to the Company; the Company is obligated to issue shares of Common Stock to Ms. Uniacke, provided such capital contribution is funded timely. The number of additional shares of Common Stock that will be issued to Ms. Uniacke in respect of her approximately $5,000 capital contribution will be determined by the then-applicable net asset value per share, which has not yet been determined; Ms. Uniacke will amend this Form 4 once that determination has been made.
