- [F1]The reporting person previously controlled an entity (the "Trustee") that serves as the sole trustee of certain trusts (the "Trusts") that hold, in the aggregate, 33,458,067 shares of the Class A Common Stock of the issuer. On January 1, 2024, the reporting person sold to a third party all of the issued and outstanding common stock of the Trustee. In connection therewith, the reporting person also resigned from all positions he previously held with the Trustee, effective as of January 1, 2024. As a result of these transactions, the reporting person no longer has beneficial ownership of any of the shares of Class A Common Stock of the issuer held by any trusts of which the Trustee is the sole trustee.
- [F2]The reporting person is a beneficiary of one of the Trusts. Following the execution of the transactions described in the preceding footnote, on January 1, 2024, the reporting person received a distribution from such Trust of 1,598,115 shares of the Class A Common Stock of the issuer.
