("GWRC") pursuant to which GWRC merged with and into the Company, with the Company surviving as a Delaware corporation. Holders of GWRC's common shares received one share of the Company's common stock for each then outstanding common share of GWRC. As a result, the reporting person received 63,524 shares of the Company's common stock for the 63,524 common shares of GWRC held by the reporting person prior to the consummation of the Merger.
