Because the shares had been issued after the expiration date of the Plan, the reporting person returned such shares to the issuer (with board approval) pursuant to Rule 16b-3(e) on or about March 24, 2016 with the understanding that they would be replaced upon extension of the Plan's term. The Plan's term was extended by the approval of issuer's shareholders at the issuer's 2016 annual meeting of shareholders.
