The securities reported as acquired herein represent all Class A Common Units representing limited partner interests in the issuer (each, a "Class A Common Unit") issued and outstanding immediately prior to the effective time of the Merger (the "Effective Time"), other than Class A Common Units held by the reporting person, Enbridge Energy Partners, L.P. and their respective affiliates, which were converted in the Merger into the right to receive $8.00 in cash without interest.
