This disposition of the shares of Class B Common Stock by the Reporting Person constitutes a "permitted transfer" as defined under the Issuer's Amended and Restated Certificate of Incorporation.

In fact, the shares, which the Reporting Person holds indirectly through a revocable trust, were transferred to a division of Tao Invest LLC, and the Reporting Person retains a pecuniary interest in the shares as well as voting and dispositive powers with respect to the shares.
