(the "Issuer") granted 9,900 shares of restricted common stock to Harry Brandler pursuant to the Issuer's 2014 Omnibus Equity Incentive Plan. The shares of restricted common stock vest in full on the earlier of (i) the first anniversary of the date of grant of the shares of restricted common stock or (ii) the date of the Issuer's 2020 Annual Meeting of Stockholders, provided that Mr. Brandler is then serving on the Issuer's Board of Directors.

As a Manager of Brandler LLC, Harry Brandler may be deemed to exercise voting and investment power over the shares held directly by Brandler LLC. In addition, Mr. Brandler may be deemed to have a pecuniary interest in the securities of the Issuer held directly by Brandler LLC due to Mr. Brandler's membership interests in Brandler LLC.
