- [F2]Pursuant to the terms of the Agreement and Plan of Merger (the "Merger Agreement"), dated as of September 22, 2019, by and among Arotech Corporation, a Delaware corporation (the "Company"), Argonaut Intermediate, Inc., a Delaware corporation ("Parent"), and Argonaut Merger Sub, Inc., a Delaware corporation and a direct wholly-owned subsidiary of Parent ("Merger Sub"), Merger Sub was merged with and into the Company, with the Company continuing as a direct wholly-owned subsidiary of Parent (the "Merger"). Pursuant to the Merger Agreement, at the effective time of the Merger, each share of common stock, par value $0.01 per share, of the Company (a "Share") was converted into the right to receive $3.00 in cash, net of applicable tax withholding, without interest.
