- [F1]On January 1, 2020, pursuant to the Agreement and Plan of Merger, dated as of August 9, 2019 (the "Merger Agreement"), by and among OceanFirst Financial Corp. ("OceanFirst"), Country Bank Holding Company, Inc. ("CYHC") and Midtown Merger Sub Corp., a wholly-owned subsidiary of OceanFirst ("Merger Sub"), Merger Sub merged with and into CYHC (the "First-Step Merger"), with CYHC continuing as the surviving entity and, immediately thereafter, CYHC merged with and into OceanFirst, with OceanFirst continuing as the surviving entity.
