- [F1]On December 31, 2019, Parking REIT, Inc. ("Issuer") issued 400,000 shares of commons stock to MVP Realty Advisors, LLC ("Manager") pursuant to the Contribution Agreement, dated as of March 29, 2019, among the Issuer, Manager, Vestin Mortgage I, Inc. ("VRM I") (solely for Section 1.01(c) thereof), Vestin Realty Mortgage II, Inc. ("VRM II")(solely for Section 1.01(c) thereof)and Michael V. Shustek ("Reporting Person")(solely for Section 4.03 thereof). VRM I and VRM II own 40% and 60%, respectively, of the Manager's interests. On January 3, 2020, Manager distributed the 400,000 shares to VRM I and VRM II in proportion to their ownership interest. The Reporting Person is a director and executive officer of VRM I and VRM II, and beneficially owns approximately 20.05% and 33.74% of VRM I and VRM II, respectively. The Reporting Person disclaims beneficial ownership of the Issuer common stock held by VRM I and VRM II, except to the extent of his pecuniary interest therein.
