Dr. Katz is also the Manager of the Sponsor, who has sole voting and dispositive power over the Shares held by the Sponsor. The Shares that have been disposed were surrendered to the Issuer and cancelled by the Issuer upon surrender pursuant to the terms of the agreement under which the Shares were initially acquired by the Sponsor.
