- [F2]The 7,613,335 Class B Ordinary Shares are directly held by SOAR Technology Sponsor, LP (the "Sponsor"). JPK Seed Capital, LLC ("JPK Seed") is the general partner of the Sponsor, and JPK Seed is controlled by Joe Poulin, the Chairman and Chief Executive Officer of the Issuer. The shares beneficially owned by the Sponsor may also be deemed to be beneficially owned by JPK Seed and Joe Poulin. JPK Seed and Joe Poulin disclaim beneficial ownership of any shares held by the Sponsor other than to the extent of any pecuniary interest they may have therein.
