Each private placement unit consists of one share of the Issuer's Class A Common Stock, par value $0.000001, and one redeemable warrant, as described in the Issuer's registration statement on Form S-1 (File No. 333-265353), which the SEC declared effective on August 3, 2022 (the "Registration Statement").
