The RSUs were issued pursuant to the Talos Energy Inc. Long Term Incentive Plan and will vest ratably on each of March 5, 2023, March 5, 2024 and March 5, 2025.

This amended Form 4 is being filed for the purpose of amending and restating the disclosure regarding that transaction in the initial Form 4, to correctly reflect that the reporting person was granted 31,447 RSUs.
- [F3]On March 8, 2022, the reporting person filed a Form 4, which inadvertently reported in Table I, column 5 that the amount of securities beneficially owned following the three reported transactions was 254,171 Shares. This amended Form 4 is being filed for the purpose of amending the disclosure. The reporting person beneficially owned, as of the date of the original Form 4 filed on March 8, 2022, 256,099 Shares, and the reporting person beneficially owns, as of the date of this amended filing, 263,414 Shares.

Between 0% and 200% of the target number of PSUs granted are eligible to vest based on continued employment and the Issuer's annualized absolute total shareholder return over the period from January 1, 2022 through December 31, 2024.
