Following consummation of the transaction, the Sponsor is the direct holder of 2,280,000 shares of Class B common stock and the Sponsor Affiliate is the direct holder of 500,000 shares of Class B common stock. Mr. Saiful Khandaker is the Manager of the Sponsor and the Managing Member of the Sponsor Affiliate and has voting and dispositive power over the shares held by each of the Sponsor and the Sponsor Affiliate. Mr. Khandaker disclaims beneficial ownership over any securities owned by the Sponsor and the Sponsor Affiliate in which he does not have a pecuniary interest.
