- [F1]On May 31, 2023, Artal International S.C.A. entered into a purchase agreement (the "Purchase Agreement") with the Issuer pursuant to which Artal International S.C.A. agreed to purchase 24,152,218 shares of common stock, $0.001 par value per share (the "Issuer Common Stock"), of the Issuer at a price of $2.60 per share (the "Purchase Price"). The Purchase Agreement also provided Artal International S.C.A. the right to purchase from the Issuer, on a pro rata basis, up to an additional 3,622,832 shares of Issuer Common Stock at a price per share equal to the Purchase Price. On June 1, 2023, pursuant to the 2023 Purchase Agreement, Artal International S.C.A. exercised its right to purchase an additional 3,622,832 shares of Issuer Common Stock at a price per share equal to the Purchase Price. The purchase closed on June 5, 2023.

Mr. Amaury Wittouck is the sole member of the board of the Stichting.
