- [F1]Each FELINE PRIDES consists of an income PRIDES, which includes a purchase contract and a 6.9% preferred trust security due 2007 issued by CC Funding Trust I, with a stated liquidation amount of $50. Each purchase contract obligates its holder to purchase (and issuer to sell) on Feb. 16, 2005, for $50, a number of shares of issuer's common stock equal to settlement rate, calculated as follows: if the market value of issuer's common stock is (i) equal to or greater than $34.397, the settlement rate will be 1.4536; (ii) less than the $34.397 but greater than $29.15, the settlement rate will be equal to the stated amount divided by market value; and (iii) less than or equal to $29.15, the settlement rate will be 1.7153. Any holder has a right to settle purchase contract at any time using cash, whereby 1.4536 shares of issuer's common stock will be issued.
