By virtue of Mr. Eckert III's positions as managing member of Greenwich Street Investments II, L.L.C., executive officer of GSCP (NJ), Inc. and limited partner of GSCP (NJ), L.P., he may be deemed to be an indirect beneficial owner of 11,674,685 shares of Common Stock.

Greenwich Street Investments II, L.L.C. is the general partner of Greenwich Street Capital Partners II, L.P., GSCP Offshore Fund, L.P., Greenwich Street Employees Fund, L.P., Greenwich Fund, L.P. and TRV Executive Fund, L.P., which collectively own all of the outstanding capital stock of GSCP Recovery Inc.
