Summary
Titan International Announces Sale of ITM Subsidiary for ~$207M
What Happened
Titan International, Inc. filed an 8-K (dated September 25, 2026) disclosing a Sale and Purchase Agreement, dated September 21, 2026, to sell its wholly owned subsidiary Italtractor ITM S.p.A. (ITM) to USCO S.p.A. for approximately $207 million in cash, plus up to an approximately $6 million earnout tied to 2026 performance. ITM is a global designer and manufacturer of undercarriage components and solutions with operations and subsidiaries in Germany, China, the U.S., Brazil, Spain, Australia and India. The transaction is expected to close in January 2027 and is subject to customary closing conditions, including regulatory approvals and certain employee retention requirements. Separately, Titan disclosed that Max Narancich, Chief Operating Officer - Titan Specialty, will resign effective October 9, 2026; his duties will be assumed by existing management.
Key Details
- Purchase price: ~ $207 million cash plus up to ~$6 million earnout; subject to customary working capital, cash, indebtedness and transaction expense adjustments.
- Timing & conditions: Purchase Agreement dated Sept 21, 2026; expected close in January 2027; closing requires accuracy of reps/warranties, regulatory approvals (antitrust/foreign investment), absence of prohibiting governmental action, and satisfaction of certain employee retention conditions.
- Terms: Includes transition services to the buyer post-closing, a five-year non-compete in specified jurisdictions, customer/supplier non-solicit and employee non-hire restrictions, indemnification provisions, and certain buyer termination fees if approvals fail.
- Governance/conflict note: Affiliates of One Equity Partners hold a minority interest in the purchaser; One Equity Partners’ chairman (Board member Richard Cashin) abstained from Board deliberations. Titan’s Board and Audit Committee approved the transaction.
Why It Matters
The sale of ITM is a material divestiture of Titan’s undercarriage business that will generate significant cash proceeds the company intends to use to reduce debt and strengthen its balance sheet, with additional capital earmarked for future growth investments (including acquisitions and strategic partnerships). The closing remains subject to regulatory approvals and other conditions, so timing and final proceeds may change. The five-year non-compete and related restrictions could limit Titan’s ability to operate in the undercarriage component market in specified jurisdictions going forward. The COO resignation appears orderly and not due to disagreement; management will reassign his responsibilities.
