The terms of his employment with StepStone Group Real Estate Holdings LLC provide that all director fees received by him are for the sole benefit of SREP III Flight-Investco, L.P. Mr. Giller may be deemed a participant in the control of the voting, disposition or purchase of these shares and thus may be deemed to share beneficial ownership of these shares.
