- [F1]The securities to which this note relates are held directly by Ilex Partners, L.L.C., a Delaware limited liability company ("Ilex"). Steinhardt Overseas Management, L.P., a Delaware limited partnership ("SOM"), serves as the managing member of Ilex and as such has discretion over the portfolio securities beneficially owned by Ilex. Michael H. Steinhardt is the general partner of SOM and directs SOM's operations. Each of the reporting persons disclaims beneficial ownership of the reported securities except to the extent of their pecuniary interest therein.
